Signly: eIDAS Simple Electronic Signature Compliance

This statement explains how the Signly electronic signature service supports simple electronic signatures under Regulation (EU) No 910/2014 on electronic identification and trust services for electronic transactions in the internal market, and under retained UK eIDAS where applicable.

Definition of simple electronic signature Article 3(10) of the eIDAS Regulation defines a simple electronic signature as data in electronic form which is attached to or logically associated with other electronic data and which is used by the signatory to sign, and simple electronic signatures may take many forms and are intended to support a wide range of business uses.

Use of simple electronic signatures in Signly The Signly service is designed to support simple electronic signatures, and when a document is sent for signature, the service records information about the signing process such as details provided by the sender and signer, timestamps of actions taken, internet protocol addresses, and technical identifiers, which are associated with the signed document to create an audit record describing how and when the document was signed.

Signer actions and intent Use of the service requires clear actions by signers to review the document and apply an electronic signature, and these actions are recorded and linked to the specific document and transaction context to provide evidence of intent to sign, without Signly verifying the identity, authority, or legal capacity of any signer.

Scope and limitations The service does not provide advanced electronic signatures or qualified electronic signatures as defined under eIDAS, and is intended only to support simple electronic signatures suitable for many commercial and internal business transactions, and customers are solely responsible for determining whether this level of assurance is appropriate for any document or transaction, including where higher assurance, witnessing, notarisation, or other formal requirements may apply.

Legal effect and evidential value Under applicable law, a simple electronic signature must not be denied legal effect or admissibility in legal proceedings solely because it is in electronic form or because it does not meet the requirements for a qualified electronic signature, and the legal effect and evidential value of any specific signature depend on the circumstances of the transaction, the parties involved, and the law governing the agreement.

Security and integrity Signly implements technical and organisational measures designed to support the integrity and confidentiality of signed documents and associated audit records, including encryption, access controls, and activity logging, without guaranteeing any specific legal outcome.
